TERMS AND CONDITIONS – WEB DEVELOPMENT SERVICES 1 June 2026

1. Introduction
These Terms and Conditions govern all web development, design, hosting, and related services provided by Just-In Tech IT Solutions (“the Service Provider”). By engaging our services, the client (“the Client”) agrees to be bound by these terms.


2. Scope of Work
2.1 All services will be provided as outlined in the approved quotation or agreement.
2.2 Any additional work outside the agreed scope will be subject to a new quotation and approval.
2.3 The Service Provider is not obligated to perform work not explicitly included in the original agreement.


3. Payment Terms
3.1 A deposit may be required before commencement of work.
3.2 Final payment is due upon completion of the website or as per agreed milestones.
3.3 Failure to make payment may result in suspension of services, including taking the website offline.
3.4 The Service Provider reserves the right to suspend or terminate services immediately without liability in the event of non-payment.
3.5 All fees are non-refundable unless otherwise agreed in writing.


4. Client Responsibilities
4.1 The Client must provide all required content, images, and information in a timely manner.
4.2 The Client warrants that all materials provided do not infringe on any third-party rights.
4.3 Delays caused by the Client may impact delivery timelines and may incur additional costs.


5. Revisions and Approval
5.1 A reasonable number of revisions may be included as specified in the quotation.
5.2 Additional revisions will be charged separately.
5.3 Once the Client approves the final design, any further changes will be treated as new work.


6. Hosting and Domains
6.1 Hosting and domain services are provided through third-party providers.
6.2 The Service Provider is not responsible for downtime, pricing changes, or service interruptions caused by third parties.
6.3 Renewal fees are payable by the Client as per the provider’s pricing at the time of renewal.
6.4 All pricing related to hosting, domains, and third-party services may be affected by currency exchange rate fluctuations. The Client acknowledges that any increase in costs due to exchange rate changes may be passed on and will be payable accordingly.
6.5 The Service Provider shall not be held liable for any cost increases resulting from exchange rate variations.


7. Platform Limitation (Hostinger Website Builder)
7.1 Websites developed using the Hostinger Website Builder platform are built within a proprietary system.
7.2 Such websites cannot be migrated, exported, or transferred to another hosting provider or platform.
7.3 By proceeding with this platform, the Client acknowledges and accepts this limitation.
7.4 Should the Client require a website that can be migrated in the future, this must be requested upfront and will be quoted accordingly using alternative development platforms.


8. No Guarantee of Performance
8.1 The Service Provider does not guarantee any specific results, including but not limited to search engine rankings, website traffic, leads, conversions, or sales.
8.2 Any estimates or projections provided are for informational purposes only and do not constitute a guarantee of performance.
8.3 The Client acknowledges that online performance is influenced by multiple external factors beyond the Service Provider’s control.


9. Limitation of Liability
9.1 The Service Provider shall not be liable for any direct, indirect, incidental, or consequential damages, including but not limited to loss of profits, data, business, or reputation.
9.2 The Service Provider does not guarantee that the website will be error-free or uninterrupted.
9.3 The Client agrees that use of the website and services is at their own risk.


10. Indemnity
10.1 The Client agrees to indemnify and hold harmless the Service Provider against any claims, damages, losses, or expenses arising from:

  • Content provided by the Client
  • Misuse of the website
  • Breach of these Terms and Conditions

11. Intellectual Property
11.1 The website remains the property of the Service Provider until full payment is received.
11.2 Upon full payment, ownership of the final website design is transferred to the Client, excluding third-party assets, licensed materials, and proprietary tools.
11.3 The Service Provider reserves the right to showcase the work in its portfolio.


12. Maintenance and Updates
12.1 Ongoing maintenance is not included unless specified in writing.
12.2 All updates, changes, or support requests will be billed separately unless covered under a maintenance agreement.


13. Termination
13.1 Either party may terminate the agreement with written notice.
13.2 In the event of termination, all work completed up to that point will be invoiced and payable.
13.3 Hosting services require at least one (1) calendar month’s notice for cancellation.


14. Force Majeure
The Service Provider shall not be held liable for failure or delay in performance due to circumstances beyond reasonable control, including but not limited to natural disasters, power outages, internet failures, or government actions.


15. Dispute Resolution
15.1 In the event of any dispute arising from these Terms and Conditions, the parties agree to first attempt to resolve the matter amicably through negotiation.
15.2 Should the dispute remain unresolved, the matter shall be referred to mediation before any legal proceedings are instituted.
15.3 If mediation fails, the dispute shall be subject to the jurisdiction of the courts of South Africa.


16. Legal Costs
16.1 In the event that the Service Provider takes legal action to enforce any rights under these Terms and Conditions, the Client agrees to be liable for all legal costs incurred.
16.2 Such costs shall include, but not be limited to, attorney and client costs, collection fees, tracing fees, and any related legal expenses permitted by law.


17. Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of South Africa.


18. Acceptance
By accepting a quotation, making payment, or using our services, the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions.
